Further, in the event that you fail to expressly accept the Terms of Service online, then your continued use of any Services for any thirty (30) day period shall signify your acceptance of the Terms.

Authority

You expressly grant Flow Simple the authority to act as your agent for the limited purpose of submitting your business information to various online directories and for the performance of various marketing activities.

Intellectual Property Rights

You represent that you have all the necessary rights to use the business name submitted to us for your Service, and that your use of the name will not infringe upon the intellectual property rights of others.

Ownership of Property

Flow Simple owns and retains all proprietary rights in the providing of the Services. You may not post, distribute, reproduce, or create derivative works in any way of any copyrighted materials, trademarks or proprietary information without obtaining written consent of the owner of such proprietary rights. Title and full ownership rights in and to the Services, together with any and all ideas, concepts, campaign automation scripts, computer programs, and other technology or otherwise relating to Flow Simple’s delivery of services (collectively, “Flow Simple Materials”), shall remain at all times solely with Flow Simple and/or with the respective outsourced service provider or author. You acknowledge that you have not acquired any ownership interest in the Flow Simple Materials and will not acquire any ownership interest in Flow Simple Materials by reason of this Agreement.

API Terms

Any use of the API (Application Program Interface), including use of the API through a third-party product that accesses the Flow Simple services, is bound by these Terms of Service plus the following specific terms:

  1. You expressly understand and agree that Flow Simple shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if Flow Simple has been advised of the possibility of such damages), resulting from your use of the API or third-party products that access data via the API.

  2. Abuse or excessively frequent requests to Flow Simple via the API may result in the temporary or permanent suspension of your account’s access to the API. Flow Simple, in its sole discretion, will determine abuse or excessive usage of the API. Flow Simple will make a reasonable attempt via email to warn the account owner prior to suspension.

  3. Flow Simple reserves the right at any time to modify or discontinue, temporarily or permanently, your access to the API (or any part thereof) with or without notice.

Payments

Flow Simple requires payment in advance for all services provided. You agree to pay a service charge equal to the lesser of one and one-half percent per month on the outstanding past due balance and the maximum amount permitted by law. Flow Simple reserves the right to collect all outstanding amounts for any month in which Services were provided.

LIMITED WARRANTY

Except for those warranties contained herein, Flow Simple expressly disclaims any and all other warranties expressed or implied including those of merchantability or fitness for a particular purpose not expressly set forth herein. No affirmation of Flow Simple, by words or actions, other than as set forth in this section shall constitute a warranty. Further, Flow Simple does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on its website properties or otherwise relating to such materials on any sites linked to the these sites.

Limitation of Liability: Flow Simple’s liability, whether under the theories of breach of contract or warranty, negligence or strict liability for service rendered or non-performance of services shall be limited to Flow Simple crediting or paying customer equal to the purchase price of one month of service. In no event shall Flow Simple or its suppliers be liable for any consequential damages (including, without limitation, damages for loss of data or profit).

Indemnification: You (for yourself, and your employees, agents, and administrators), agree to defend, hold harmless, and indemnify Flow Simple from and against any and all losses, costs, expenses, fines, damages or other liabilities incurred by Flow Simple (and Flow Simple’s authorized representatives, present and future officers, directors, employees, and agents) arising from or related to any cause of action, claim, suit, proceeding, demand or action by a third party against Flow Simple.

Cost and Expenses of Enforcement: Customer is responsible for all costs and expenses incurred by Seller in enforcing its rights, including, without limitation, reasonable costs and attorneys’ fees related to any lawsuit or claim by and/or between Customer and Flow Simple. In the event of Customer’s breach of any obligation (which includes, but is not limited to, Customer’s failure to pay), Customer agrees to pay all reasonable attorneys’ fees, collection fees and costs of Flow Simple, including those incurred post-judgment, in any action brought to enforce the terms and conditions of any transaction. Furthermore, Customer acknowledges and agrees that Flow Simple may seek equitable relief without the necessity of posting a bond.

No Agency

Except for the limited purpose as stated in the Authority section, Flow Simple is an independent contractor, and no agency, joint venture or employee-employer relationship is intended or created by this Agreement.

Governing Law

These Terms of Service shall be governed by the laws of the State of Florida and any disputes under these Terms of Service shall be litigated in Federal or State Courts located in Florida.
